Elite Consulting Agency provides custom software engineering services, including client portals, billing and invoicing systems, engagement management platforms, reporting dashboards, CRM systems, and proposal automation, specifically tailored for consulting firms, law practices, agencies, and other professional service businesses. The exact scope of any engagement is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW) signed between Elite Consulting Agency and the client.
2. Acceptance of Terms
By accessing or using our Website or services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use our services.
3. Intellectual Property
Upon full payment of all undisputed fees for a project, Elite Consulting Agency assigns to the client all rights, title, and interest in the custom code and platform developed specifically for that client. Elite Consulting Agency retains ownership of pre-existing code libraries, internal tooling, and reusable middleware used across multiple client projects, and grants the client a perpetual, royalty-free license to use those components within their delivered platform.
4. Client Responsibilities
Clients are responsible for providing timely access to necessary records, credentials, and decision-makers required to complete the engagement. Delays caused by the client may result in adjusted timelines or additional fees.
5. Fees and Payment
Fees for services are set out in the applicable SOW and are billed according to the milestone or retainer structure described in that agreement. Late payments may result in a pause of active work until the account is brought current.
6. Limitation of Liability
To the fullest extent permitted by law, Elite Consulting Agency shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use our services.
7. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
